Corporate and Fiduciary Counsel

The Corporate and Fiduciary Counsel is responsible for providing in-house legal support in connection with (i) fiduciary matters arising within Wealth Management (WM), particularly within Institutional Trust and (ii) general corporate matters. The position will support various corporate transactional members and provide general corporate legal support typical for an in-house attorney to various members of the Comerica team. They will support the legal needs of the Institutional Trust and WM teams, including interpretation of legal and regulatory requirements (i.e., those arising under federal and state trust and fiduciary laws), providing support for WM regulatory examinations, internal audits, self-testing, and reviewing and revising WM marketing materials for legal compliance. This individual will handle fiduciary matters involving federal and state regulatory agencies, including assessing litigation and assisting managers in managing any associated risks. They will interpret legal and regulatory requirements (including those arising under federal and state trust and fiduciary laws) and other relevant laws as they relate to the provision of fiduciary administration and investment services. This position will report to the SVP -- Corporate Transactions & Wealth Management. The position works closely with Corporate Compliance and the Enterprise Risk Division.

Position Responsibilities:
  • Serve as recording secretary or assistant secretary for various affiliated entities and internal committees.
  • Analyze and lead complex legal issues and implications in cases, transactions and other legal matters of significance to the bank. Prepares legal opinion letters in complex matters. Independently researches applicable law and engages and oversees outside counsel as required.
  • Follows proposed and new legislation to assess potential impact to areas that the attorney supports and apprise management of such legislation. Advises senior bank officers of the legal implications of proposed policy, course of action or management decision and assists in reviewing legal issues. Assists in reviewing legal issues in the incumbent's area of expertise. Litigates or analyzes complex cases of significant impact in state or federal court on behalf of the bank.
  • Negotiates lending transactions and draft contracts (including trust alliances, customer agreements and vendor contracts), settlements and workouts, and other legal matters on the bank's behalf in cases of significant impact to the bank. Prepares pleadings, filings, briefs, transactional documentation, policy and procedure guides in complex matters.

Position Qualifications:
  • J.D. from an ABA accredited law school
  • Active member in good standing with the State Bar of Texas or, if licensed in another state, able to qualify for admission in Texas within 180 days
  • 4 years of experience practicing law
  • 4 years of experience in handling contractual matters

8:00am - 5:00pm Monday - Friday, this position includes both onsite and remote work.
